2.2 The attendee guarantees that all the information provided during the Conference registration or Ticket purchase is accurate.

PAYMENT

3.1 Invoices will be processed by the Organizer. Payment via invoice is available for corporate and group purchases upon request. The invoice will be sent separately, and payment is due within 28 days of receipt.

3.2 The Organizer may introduce additional registration methods allowing payment through alternative providers. These methods will be subject to the terms and conditions of the respective payment provider.

3.3 The Organizer reserves the right to request payment verification for resolving any potential disputes regarding the purchase.

3.4 Late Payment. Unless otherwise stated in the applicable Order Form, invoices are payable within the payment period specified on the invoice. Where German law applies to a business-to-business transaction, the statutory default interest rate under § 288(2) BGB shall apply.

3.7 The Company may charge a reasonable administrative recovery fee for each additional collection action made necessary by the Customer's continuing default, provided that such charge reflects the reasonable costs associated with that collection activity. The Customer may demonstrate that no such costs, or materially lower costs, were incurred.

3.8 These rights are cumulative to the extent permitted by law and continue until all outstanding amounts have been paid in full.

REFUNDS

4.1 Tickets or registrations sold to attendees or their businesses are generally non-refundable due to the nature of the Ticket. Refunds should not be assumed as available under typical circumstances.

4.4 The Ticket purchased is for the attendee's personal use or business only and may not be resold or transferred for commercial gain under any circumstances. 5.2 The Conference program may be subject to changes, including speaker substitutions, if necessary. The Organizer will make reasonable efforts to provide a substitute speaker of similar quality, if available.

5.3 The Organizer may cancel the Conference at any time due to unforeseen circumstances, such as force majeure. In such cases, the Organizer will (i) immediately notify all attendees of the cancellation and (ii) refund the fee to each attendee in the amount they paid for their Ticket. The Organizer will issue the refund within one month following the notification of the Conference cancellation.

Harassment in any form is not tolerated. This includes inappropriate use of sexual language and imagery in all event venues, including talks, workshops, parties, and online platforms such as Twitter. Violations of these rules may lead to removal from the event without a refund, a ban from future events organised by FemTechConf®, and in cases of serious violations, the involvement of law enforcement and event security.

CODE OF CONDUCT: Detailed Version

Harassment at FemTechConf® events includes but is not limited to offensive verbal comments related to gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, religion, technology choices, display of sexual images in public spaces, deliberate intimidation, stalking, following, harassing photography or recording, sustained disruption of events, inappropriate physical contact, and unwelcome sexual attention.

Immediate compliance is expected from participants asked to stop any harassing behavior.

This policy applies equally to sponsors. Sexualized images, activities, or materials are not appropriate. Booth staff, including volunteers, are prohibited from wearing sexualized clothing/uniforms/costumes or creating a sexualized environment.

SPONSORSHIP TERMS & CONDITIONS

These Sponsorship Terms & Conditions (“Terms”) govern sponsorships, commercial partnerships, exhibition packages, promotional collaborations, and related arrangements entered into with FemTechConf® (“Organizer”, “we”, “us”, or “our”).

The sponsoring organization (“Sponsor”) agrees to these Terms by expressly accepting a sponsorship proposal or agreement that incorporates them.

These Terms apply to sponsorship agreements entered into on or after their effective date, provided they have been properly incorporated into the relevant agreement.

1. SPONSORSHIP AGREEMENT AND ACCEPTANCE

1.1. A sponsorship agreement becomes binding when the Sponsor accepts a written sponsorship proposal, quotation, or agreement issued by FemTechConf®.

1.2. Acceptance may be provided through an electronic signature, written email confirmation, or another legally recognized form of agreement.

1.3. A handwritten signature is not required where electronic acceptance constitutes a valid and enforceable agreement under applicable law.

1.4. Once accepted, the Sponsor agrees to the sponsorship fee, deliverables, payment terms, and other conditions specified in the applicable sponsorship proposal or agreement.

1.5. The sponsorship proposal, these Terms, and any mutually agreed written amendments collectively constitute the sponsorship agreement.

1.6. If the individual sponsorship proposal expressly conflicts with these Terms, the specific written provisions of that proposal shall prevail.

2. SPONSORSHIP FEES AND PAYMENT OBLIGATIONS

2.1. All sponsorship fees are payable in accordance with the invoice and payment schedule specified in the sponsorship agreement.

2.2. Unless otherwise agreed in writing, sponsorship invoices are due within 14 calendar days of issuance or before the event begins, whichever occurs first.

2.3. The Sponsor's payment obligation arises upon acceptance of the sponsorship agreement and is not dependent on attendance at the event, use of exhibition space, participation in networking activities, or utilization of allocated tickets.

2.4. Failure to attend, exhibit, distribute products, provide representatives, or otherwise make use of sponsorship benefits does not automatically release the Sponsor from its payment obligations.

2.5. The Organizer reserves the right to suspend or withhold undelivered sponsorship benefits where payments remain overdue, subject to applicable law and any required notice.

2.6. Any applicable taxes, bank charges, or transfer fees shall be handled as specified in the sponsorship proposal or invoice.

3. SPONSORSHIP CANCELLATION AND WITHDRAWAL

3.1. All sponsorship agreements constitute binding commercial commitments. A Sponsor wishing to cancel, withdraw, or reduce its participation must notify FemTechConf® in writing.

3.2. A cancellation request does not automatically terminate the agreement or release the Sponsor from its contractual payment obligations.

3.3. Sponsorship fees are non-refundable once the Organizer has commenced performance, incurred costs, reserved sponsorship inventory, or committed resources to delivering the agreed sponsorship benefits, except where otherwise expressly agreed in writing or required by applicable law.

3.4. Where a Sponsor cancels or withdraws from an agreed sponsorship, the Organizer reserves the right to claim the agreed sponsorship fee and any other amounts lawfully recoverable under the agreement and applicable law, taking into account any legally required deductions or adjustments.

3.5. Cancellation or non-attendance by the Sponsor does not automatically release the Sponsor from payment obligations relating to branding, marketing activities, exhibition arrangements, event tickets, production costs, or other agreed sponsorship benefits.

3.6. Any cancellation, termination, modification, refund, or alternative arrangement must be expressly confirmed in writing by FemTechConf® to be effective as a mutually agreed contractual modification. This does not limit any termination rights that cannot lawfully be excluded.

3.7. The Organizer may, at its discretion, offer alternative participation arrangements, sponsorship credits, or modified benefits. Such accommodations are not guaranteed and shall not establish an obligation to offer equivalent arrangements in future cases.

4. SPONSORSHIP DELIVERABLES AND FULFILMENT

4.1. Sponsorship benefits are defined in the applicable sponsorship proposal and may include: sponsor recognition and event branding; physical exhibition or activation space; product showcasing, demonstrations, or sampling opportunities; VIP, Standard, or other event tickets; website and virtual exhibition listings; newsletter features and email communications; social media content and promotional activities; logo placement on photowalls, banners, signage, presentations, and other event materials; networking opportunities and event access.

4.2. Sponsorship benefits are considered delivered when the Organizer has completed the agreed service or made the agreed benefit available, as appropriate to the nature of that benefit.

4.3. Website branding is considered delivered for the relevant period once the agreed sponsor information has been published.

4.4. Newsletter features are considered delivered when the relevant communication has been distributed.

4.5. Tickets are considered issued when valid tickets or registration confirmations have been transmitted to the Sponsor or its designated recipients. Ticket issuance does not guarantee actual attendance.

4.6. Physical exhibition space is considered made available when the Organizer provides the agreed space at the event, subject to the event proceeding as scheduled.

4.7. Design preparation, printing commitments, logistics planning, and production expenses may constitute incurred costs or partial performance but do not automatically constitute full delivery of a benefit that remains outstanding.

4.8. The Organizer shall use commercially reasonable efforts to deliver the agreed benefits. Reasonable substitutions or adjustments may be made where necessary, provided they do not materially diminish the overall value of the sponsorship package.

5. BRANDING, INTELLECTUAL PROPERTY AND PROMOTIONAL MATERIALS

5.1. The Sponsor grants FemTechConf® a non-exclusive, royalty-free, worldwide license, for the duration reasonably necessary to fulfil the sponsorship agreement, to use the Sponsor's name, trademarks, logos, and approved brand assets for agreed event promotion, sponsorship recognition, and related communications.

5.2. The Sponsor represents that it has the necessary rights to provide and authorize the use of such materials.

5.3. The Sponsor must provide requested logos, artwork, promotional content, and other materials by the deadlines communicated by the Organizer.

5.4. Delays in providing required materials may affect the Organizer's ability to deliver certain benefits. The Organizer shall not be responsible for failures directly caused by the Sponsor's unreasonable delay, provided reasonable steps have been taken to mitigate the impact.

5.5. FemTechConf® retains ownership of its trademarks, event branding, designs, and original promotional materials.

5.6. The Sponsor may not modify or commercially use FemTechConf® trademarks, logos, or branded materials outside the agreed sponsorship activities without prior written approval.

5.7. The Organizer may retain previously published sponsorship communications and historical event records after the event, unless removal is required by law or expressly agreed otherwise.

6. EXHIBITION SPACE AND ONSITE PARTICIPATION

6.1. Where exhibition space is included, the Organizer shall allocate the agreed space in accordance with the event's operational and safety requirements.

6.2. Exhibition locations, layouts, and access arrangements may be reasonably adjusted where required for operational, venue, or safety reasons.

6.3. Sponsors are responsible for their own representatives, products, demonstrations, equipment, shipping, installation, and removal unless otherwise agreed.

6.4. Sponsors must comply with venue regulations, applicable laws, health and safety requirements, and any reasonable event instructions.

6.5. Product sampling, food and beverage distribution, and promotional activations may require advance approval and compliance with venue-specific regulations.

6.6. A Sponsor's decision not to use its allocated exhibition space does not, by itself, entitle the Sponsor to a refund.

7. EVENT CHANGES, POSTPONEMENT AND CANCELLATION

7.1. The Organizer reserves the right to make reasonable changes to the event schedule, speakers, programme, exhibition layout, or operational arrangements.

7.2. If an event is postponed, the Organizer will make commercially reasonable efforts to transfer sponsorship benefits to the rescheduled event or agree on an appropriate alternative.

7.3. If the Organizer cancels the event without rescheduling, the parties shall assess which benefits have already been delivered, which remain undelivered, and the appropriate refund or adjustment under the sponsorship agreement and applicable law.

7.4. Neither party shall be liable for a failure or delay in performing obligations caused by events beyond its reasonable control, including natural disasters, governmental restrictions, serious infrastructure failures, or comparable events, to the extent such failure is excused under applicable law.

7.5. Financial difficulties, internal budget changes, changes in marketing strategy, or a Sponsor's decision not to participate do not automatically qualify as force majeure events.

7.6. Payment obligations relating to services already performed or amounts otherwise lawfully due shall remain subject to the applicable agreement and law.

8. SPONSOR CONDUCT AND REPUTATION

8.1. Sponsors must conduct their activities professionally and respectfully, consistent with the inclusive values of FemTechConf®.

8.2. The Organizer may require a Sponsor to cease activities that are unlawful, unsafe, discriminatory, or materially disruptive.

8.3. In cases of serious misconduct or material breach, the Organizer may suspend participation or terminate the agreement, subject to applicable law and any required notice or opportunity to remedy.

8.4. Any financial consequences of termination shall be determined in accordance with the agreement and applicable law.

9. LIMITATION OF LIABILITY

9.1. To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, or consequential damages, including lost profits or anticipated business opportunities, arising from the sponsorship agreement.

9.2. The Organizer does not guarantee a specific number of leads, sales, business opportunities, website visits, social media impressions, or commercial outcomes unless expressly agreed in writing.

9.3. To the maximum extent permitted by applicable law, the Organizer's aggregate liability arising from the sponsorship agreement shall not exceed the sponsorship fees actually paid under that agreement.

9.4. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct, or other non-excludable obligations.

10. CONFIDENTIALITY

10.1. Both parties agree to keep non-public commercial terms, confidential business information, and sensitive operational information confidential.

10.2. Confidential information may be disclosed where required by law, to professional advisers under appropriate confidentiality obligations, or with the other party's written consent.

10.3. Publicly announced sponsorship relationships and approved promotional information are not considered confidential solely because they relate to the sponsorship agreement.

11. AMENDMENTS AND ENTIRE AGREEMENT

11.1. Any mutually agreed amendment to an accepted sponsorship agreement must be confirmed in writing by authorized representatives of both parties.

11.2. No verbal discussion, informal proposal, or unaccepted cancellation request shall automatically amend or terminate the agreement.

11.3. The sponsorship proposal, these Terms, and mutually accepted written amendments constitute the entire agreement concerning the relevant sponsorship, unless otherwise expressly stated.

11.4. If any provision is held invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.

ACCEPTANCE OF SPONSORSHIP TERMS

By expressly accepting a FemTechConf® sponsorship proposal that incorporates these Terms, the Sponsor acknowledges that it has reviewed and agrees to the applicable sponsorship commitments, payment obligations, cancellation provisions, and other conditions set out above.
